October 25, 1938 [underscored type]Notice of Special Meeting of Members[end underscore] To the Members of Eugenics Research Association, Inc.: Notice is hereby given that a special meeting of the members of Eugenics Research Assn., Inc. has been called for Thursday, Dec. 1, 1938 at 11 A.M. o'clock, in the office of Dr. Harry L. Shapiro, 5th floor, American Museum of Natural History, 77th St. and Central Part West, New York, N. Y., for the purpose of acting upon the following resolution which was proposed and unanimously adopted at a meeting of the Board of Directors of Eugenics Research Assn., Inc. on Tuesday, October 18, 1938: *RESOLVED, That the President is hereby directed to call a meeting of the members of the Association for Thursday, December 1, 1938, for the purpose of voting on the following proposed amendments to the Association's Certificate of Incorporation, which changes are recommended by the Board for their adoption: 1. Article One, which now reads: 'The name of the proposed corporation is Eugenics Research Association, Inc.' shall be changed to read: 'The name of the proposed corporation is Association for Research in Human Heredity, Inc.' 2. Article Five, which now reads: 'The number of Directors is nine,' shall be changed to read: 'The number of Directors is fifteen.' 3. Article Ten, which now reads: 'The Directors shall adopt By-Laws for the regulation of the corporation and its membership and shall have power to amend such regulations by a two-thirds vote of all Directors,' shall be changed to read: 'The Directors shall adopt By-Laws for the regulation of the corporation and its membership and shall have power to amend said regulations by a two-third vote of the Directors present at any meeting at which a quorum is present.'" It is not expected that there will any other business taken up at the meeting. We might add that these changes in the Certificate of Incorporation, particularly the change in name, have been under consideration for some time, and that the Directors feel that these changes will greatly strengthen the Association and increase its future usefulness. If you cannot be personally present and desire to vote for these changes, please sign, date and return the attached form of proxy, which is forwarded for your convenience.
